Terms of Service

1. Agreement
By accessing or using Doctor's Clinic, you agree to these Terms of Service and our Privacy Policy. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
Doctor's Clinic provides software for clinics to manage operations, patients, scheduling, visits, prescriptions, and related workflows. Features may change with notice where we reasonably can provide it.
3. Your responsibilities
- Maintain accurate account information and safeguard credentials.
- Comply with all laws applicable to your practice, including privacy and security rules for health information (e.g. HIPAA in the U.S., GDPR where it applies, and professional regulations).
- Obtain valid consents and authorizations where required for data you collect through the platform.
- Not misuse the service for unlawful, deceptive, or harmful purposes.
4. Health data
You are responsible for decisions about what data to enter and how to use outputs (prescriptions, communications, etc.). Where a Business Associate Agreement (BAA) applies to your use of ePHI, it governs those obligations and supplements these Terms.
5. Availability and changes
We strive for reliable operation but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice when practicable.
6. Intellectual property
Doctor's Clinic and its branding, software, and documentation are protected by intellectual property laws. We grant you a limited, non-exclusive license to use the service during your subscription or trial. You retain rights to data you submit.
7. Disclaimer
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCTOR'S CLINIC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR, IF NONE, ONE HUNDRED DOLLARS).
9. Indemnity
You will defend and indemnify us against claims arising from your use of the service, your data, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
10. Termination
You may stop using the service at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by nature should survive (liability, indemnity, governing law) will survive termination.
11. Governing law
These Terms are governed by the laws of the jurisdiction specified in your order form or, if none, the State of Delaware, USA, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive jurisdiction, unless applicable consumer law gives you non-waivable rights elsewhere.
